Your Obligations as a Client

Transparent Pricing & Payment Terms

- Payment Schedule: Depending on the project, a deposit (typically 50% upfront) may be required before work commences, with the remaining balance due upon delivery or as outlined in your agreement.
- Invoice & Due Dates: Invoices are due within the timeframe specified therein. Late payments may result in a pause in services.
- Refund Policy: Deposits are generally non-refundable once work has commenced. Refunds for incomplete services are evaluated on a case-by-case basis, with reference to the agreed deliverables completed at the time of cancellation.
- Pricing Changes: We reserve the right to revise our pricing at any time. Existing project agreements will honour the rates defined at the time of engagement.
- Third-Party Costs: Any third-party costs such as ad spend, software subscriptions, stock assets, or domain/hosting fees are separate from our service fees and are the client's responsibility unless otherwise specified.
- Taxes: Applicable taxes (GST/HST or regional equivalents) will be added to your invoice as required by law.
Who Owns What We Create
Intellectual property rights are a critical aspect of our work. Here's how ownership is handled at Digital Jagdish:
- Client-Owned Assets: Upon receipt of full payment, all final deliverables specifically created for you such as logo files, website code, and written content become your property, unless otherwise stated in your agreement.
- Agency-Retained Rights: Digital Jagdish retains the right to use completed work in its portfolio and marketing materials unless the client requests confidentiality in writing.
- Proprietary Tools & Frameworks: Any internal tools, methodologies, templates, or systems developed by Digital Jagdish and used to produce your deliverables remain the exclusive property of the agency.
- Third-Party Assets: Licensed stock images, fonts, or software tools used in your project are subject to their respective licensing agreements. We ensure proper licensing but cannot transfer third-party rights to clients.
- Client Content: You retain full ownership of all content, logos, trademarks, or materials provided to us. You grant Digital Jagdish a limited, non-exclusive licence to use these materials solely to deliver the agreed services.
Any unauthorised reproduction, distribution, or use of Digital Jagdish's brand, content, or proprietary work is strictly prohibited and may result in legal action.
Understanding Our Boundaries
While we are committed to delivering exceptional results, it's important to understand the scope of our responsibility.
Digital Jagdish does not guarantee specific outcomes from marketing campaigns, such as exact traffic numbers, leads, revenue, or search engine rankings. Digital environments are dynamic and influenced by many external factors beyond our control.
- To the maximum extent permitted by applicable law, Digital Jagdish shall not be liable for any indirect, incidental, consequential, or punitive damages arising from your use of our services.
- Our total liability to you for any claim shall not exceed the total fees paid to us in the 30 days immediately preceding the event giving rise to the claim.
- We are not responsible for disruptions caused by third-party platforms (Google, Meta, etc.), server outages, or changes in algorithms that affect campaign performance.
- Digital Jagdish is not liable for losses arising from your failure to provide accurate information, timely approvals, or access to required platforms.
Ending the Engagement
Either party may terminate a service agreement by providing written notice as specified in the project contract or, where no such period is defined, a minimum of 14 days' written notice.
- By the Client: You may terminate services at any time with appropriate notice. Fees for work completed up to the termination date remain payable. Non-refundable deposits will not be returned.
- By Digital Jagdish: We reserve the right to terminate any engagement immediately and without notice if the client breaches these Terms, engages in abusive behaviour, fails to make payment, or if continuing the engagement would violate any law or ethical standard.
- Effect of Termination: Upon termination, all outstanding invoices become immediately due. Digital Jagdish will hand over any client-owned materials completed up to the termination date, subject to full payment.
- Survival: Provisions relating to intellectual property, confidentiality, payment obligations, and limitation of liability shall survive the termination of any agreement.
